1. Introduction
Welcome to VIRBA.
VIRBA (Versatile Intelligent Assistant) is a business software platform operated by Haansal Estate Pty Ltd, an Australian company.
These Terms and Conditions (“Terms”) govern access to our website at https://virba.ai and the use of VIRBA services where those services are made available under an applicable agreement.
By registering for or using an available VIRBA service after accepting the applicable Terms, you agree to the conditions governing that service.
If you are using VIRBA on behalf of an organisation, you confirm that you have the authority to act for that organisation.
2. Service Description
VIRBA is intended to help businesses with activities including:
- Social media content preparation, management and publishing.
- Customer communication and engagement.
- AI-assisted content and reply generation.
- Customer relationship management and lead tracking.
- Business knowledge and information management.
- Website content and authorised third-party integrations.
- Scheduling, approval and other business workflows.
Some features are under development, undergoing testing or dependent upon approval from external providers.
Features described on our website are not guaranteed to be available until expressly released and enabled.
A demonstration, mockup, saved setting, draft or approval state does not establish that external automation or publication has occurred.
3. Accounts and Eligibility
Users must provide accurate account information and maintain appropriate security over their accounts.
You must be legally capable of entering the relevant agreement and authorised to act for any business organisation you represent.
You are responsible for activity conducted through your account by users acting with your authority, subject to applicable law.
You must promptly notify us of suspected unauthorised access or security incidents affecting your account.
4. Organisation Administration
Organisation owners and administrators may manage authorised users, access roles and business settings according to the features available in their subscription or account.
Customers must ensure that their users are appropriately authorised to access business information, connected accounts, customer records and communications.
A customer’s organisation membership does not automatically authorise the use of another individual’s personally owned social media account.
Any permissions to access, publish through or automate activity on another person’s account must be separately established where required.
5. Acceptable Use
You agree to use VIRBA only for lawful and authorised purposes.
You must not:
- Engage in fraudulent, deceptive, abusive or unlawful activities.
- Upload or publish content without necessary rights or permissions.
- Send unlawful unsolicited marketing or spam.
- Infringe intellectual property or privacy rights.
- Attempt unauthorised access to other accounts or organisations.
- Circumvent platform security, usage limits or restrictions.
- Misuse AI-generated content to impersonate, deceive or exploit others.
- Use VIRBA contrary to applicable Facebook, Instagram, WhatsApp, WordPress or other provider requirements.
Our Acceptable Use Policy provides further details.
6. Customer Content and Ownership
You retain your lawful ownership rights in content, business information, documents and materials you provide to VIRBA.
You grant VIRBA a limited permission to host, process, format, store and transmit that material as reasonably necessary to provide your requested services and authorised features.
You remain responsible for ensuring that uploaded and published materials are lawful, accurate where required, and do not infringe third-party rights.
VIRBA does not acquire ownership of your original business content merely because you upload or process it through the platform.
7. AI-Generated Content
VIRBA may provide AI-assisted drafting, suggestions, classifications, analyses and other outputs.
AI-generated content may contain mistakes, unsupported claims, omissions, outdated information or material similar to content generated for other users.
You are responsible for reviewing the suitability, legality, accuracy, copyright status and factual basis of content before use or publication.
Use of VIRBA does not remove any professional, regulatory, advertising or customer-service responsibilities imposed upon your business.
Further information is available in our AI Disclaimer and Disclosure.
8. Social Media and Third-Party Integrations
VIRBA may permit authorised connections to social media, website, messaging and other third-party services.
You must have the necessary authority to connect and operate each account.
Connecting an account does not automatically authorise every available action, including unattended publishing or automatic customer replies.
Where available, the performance of connected functions depends on:
- Authorisation granted by the relevant account holder.
- Third-party permissions and API availability.
- Account eligibility and provider policies.
- Service configuration and applicable approval requirements.
- Network and provider operation.
VIRBA cannot guarantee that external providers will approve, maintain or continue any particular integration, permission or feature.
Third-party platforms may impose their own terms and restrictions independently of these Terms.
9. Content Publishing and Scheduling
Where content publishing or scheduling functionality is available, customers are responsible for selecting appropriate destinations, reviewing content and providing the necessary approvals.
A content draft, scheduled entry, publishing instruction or internal approval is not proof of successful external publication.
Actual publication is dependent upon the relevant provider receiving and accepting the operation.
External platform failures, permission changes, suspensions, service interruptions or technical limitations may prevent or delay publishing.
Customers should verify time-sensitive or legally significant communications through the relevant destination platform.
10. CRM and Customer Communications
Customers are responsible for ensuring that customer contact information and communications processed through VIRBA have been obtained and used lawfully.
This includes compliance with privacy laws, marketing consent requirements, anti-spam obligations, platform messaging policies and applicable unsubscribe requirements.
VIRBA does not independently certify that customer-supplied contact lists, business claims or marketing activities satisfy all relevant laws.
11. Subscriptions, Pricing and Payments
Paid subscriptions, trial periods, billing intervals, renewal terms, payment methods and taxes will be specified in the relevant published plan, order or subscription agreement when commercial subscriptions become available.
VIRBA will not treat an unpublished development price or demonstration screen as a binding commercial offer.
Any applicable cancellation, renewal and refund terms will be disclosed as required by law before customers are charged.
Nothing in these Terms limits statutory rights or remedies that cannot lawfully be excluded.
12. Service Availability and Changes
VIRBA is under active development and may be updated over time.
We may undertake maintenance, introduce or discontinue features, and change available integrations in accordance with applicable agreements and laws.
We do not promise uninterrupted availability or a specific uptime service level unless that commitment is expressly included in an applicable service agreement.
Customers should maintain appropriate business continuity procedures and backups for important information.
13. Security and Confidentiality
VIRBA aims to use security measures appropriate to its services and the nature of the information processed.
Customers must maintain secure login credentials, control user access and take reasonable care when handling sensitive information.
Each party remains responsible for confidentiality and security obligations applicable to its role and any separate agreement.
Our handling of personal information is described in our Privacy Policy.
14. Intellectual Property
The VIRBA name, branding, software, platform design, documentation and proprietary technology belong to Haansal Estate Pty Ltd or the relevant rights holders, subject to applicable ownership arrangements.
You may not reproduce, distribute, reverse engineer or commercially exploit protected components except as permitted by law or an applicable agreement.
Nothing in these Terms transfers ownership of customer content to VIRBA or VIRBA’s platform intellectual property to customers.
Third-party trademarks and platform names remain the property of their respective owners.
15. Professional and Regulatory Responsibility
VIRBA provides technology and business-assistance tools. It does not, merely by providing information or AI output, provide independently licensed legal, financial, credit, medical, valuation, building or other regulated professional services.
Customers remain responsible for obtaining appropriately qualified advice where required and complying with applicable professional and industry obligations.
16. Warranties and Liability
We seek to provide the services with reasonable care and skill.
Technology services, third-party integrations and AI-generated information may experience errors, interruptions or limitations.
To the extent permitted by applicable law, liability for particular commercial services may be addressed in the relevant service agreement.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot lawfully be excluded, including protections under the Australian Consumer Law where applicable.
These Terms should not be interpreted as excluding liability where doing so would be unlawful.
17. Suspension and Termination
We may suspend or restrict access where reasonably necessary to address unlawful activity, material misuse, security threats, unauthorised access or other grounds permitted by the applicable agreement and law.
Termination, cancellation, data export, refund and post-termination rights will be governed by the applicable agreement and mandatory legal requirements.
Where appropriate, we will provide information about available data access and deletion processes.
18. Privacy and Data Deletion
Personal information is handled according to our Privacy Policy.
For requests concerning account information, corrections, connected account data or deletion, contact info@haansalestate.com.au.
Requests will be assessed under applicable legal obligations and the relevant customer’s data-control arrangements.
19. Complaints and Disputes
If you have a complaint regarding VIRBA, please contact info@haansalestate.com.au and provide sufficient information to enable us to investigate.
We will seek to address concerns fairly and in accordance with applicable law.
Nothing in these Terms removes any right to seek remedies through a competent court, regulator or statutory complaint mechanism.
20. Changes to These Terms
We may update these Terms as our services and legal obligations develop.
The current Terms will be displayed on this website. Where required, we will provide additional notice or obtain agreement to material changes.
Changes will not retrospectively remove rights that cannot lawfully be modified.
